Held, an agreement should be construed in its context, and with a view to what the parties intended to achieve. Insofar as the words used in an undertaking are capable of bearing different meanings, a "purposive construction" may be applied. With regard to contractual rights and freedoms held, public policy generally favours the utmost freedom of contract, and the power to declare contracts contrary to public policy should be exercised sparingly and only in the clearest of cases.

Die aanklagtes beweer dat die beskuldigde wederregtelik aandele in Parys Diamante (Edms.) Bpk., ’n maatskappy met beperkte aanspreeklikheid ingevolge die Ordonnansie op Maatskappye, aan die klaers, lede van die publiek, mondeling of skriftelik in gemelde maatskappy te koop aangebied het, sonder dat die aanbiedinge vergesel was van ’n prospektus wat aan die bepalings van Ord. 19 van 1928 voldoen, of van ’n skriftelike verklaring wat die besonderhede bevat wat ooreenkomstig voormelde Ordonnansie daarin vervat moes wees en dat hy dus art. 80 bis (1) (i), gelees met arts.

The present respondent was charged before the regional magistrate at Johannesburg with a contravention of sec. 80 bis (4) of the Companies Act, 46 of 1926. It was alleged in the charge that, on 7th August, 1966, and at Johannesburg, the accused wrongly offered for sale to one Herman Radecker, a member of the public, shares in a company known as Parys Diamante (Edms.) Bpk., for the sum of R500, without such offer being accompanied by a document such as is referred to in sec. 80 bis (1). The accused pleaded not guilty.
